General terms and conditions of sale

Preamble

Version of September 20, 2021.

By accessing or using the INNOVORDER Services, the Customer agrees to be bound by these General Terms and Conditions of Use and Sale (hereinafter, the "GTCS"). The stipulations detailed in these GCUVs may be waived by special conditions included in the contract between the Customer and Innovorder.

Article 1. Definitions

"Customer": means any natural or legal person, professional, using the Services.

"Contract": means the documents governing the Services subscribed to by the Customer from Innovorder and the sale of the Products, i.e. order forms, quotes, invoices, and these GCUV.

"Innovorder": Innovorder, a simplified joint stock company, whose registered office is located at 7 hameau de Boulainvilliers 75016 Paris, registered with the Paris Trade and Companies Register under number 804 818 482, a service provider developing an order-taking and collection system and a software publisher and vendor of the computer hardware enabling its services to be used.

"Products" means computer equipment and any other type of equipment sold by Innovorder.

"Network": means the entire installation providing for the transmission and/or routing between the termination points of this network of data or telecommunications signals, as well as the exchange of information. The fact that the network is internal, local, public, private or other is without influence.

"Server" means the computer system that runs the administration software and controls access to the Network and its resources.

"Services": means the provision of all software and the application to the Customer by Innovorder, as well as the related services, including access to a set of websites including the Site, all pages, content, functions, software and related tools offered by Innovorder and to which the Customer may connect, as well as training in the use of the software and the application.

"Site": website accessible from https://www.innovorder.fr and its sub-domains.

"Information system" means any system used to create, send, receive, store or process data.

Article 2. Object

Innovorder has set up an omnichannel order-taking, cash register, loyalty and operational management software program through a website and applications, and also sells the computer hardware that enables its services to be used.

The purpose of these GCUV is to define the conditions under which Innovorder provides the Customer with the Services and sells the Products that enable the Customer to use the Services.

The use of the Services and the sale of the Products expressly depend on the acceptance of the whole of the CGUV of which the Customer acknowledges having been informed, prior to the placing of his order, in a legible and comprehensible manner.

They cancel and replace all oral or written agreements that may have been concluded previously between the various parties in this regard.

The CGUV may be subject to modification under the conditions described in Article 17 of the CGUV.

Article 3. Customer registration - Access

In the case of a contract concluded between a Customer and Innovorder on the basis of a previously drawn up estimate, it is the Customer's responsibility to check that the estimate drawn up corresponds to its needs and expectations, and that it has been accepted by a duly authorized person within its structure.

The Customer is responsible for the configuration of its Information System, and for the implementation and maintenance of a Computer Network that allows a reliable connection between the elements of the Services, as well as between the elements installed on its Network and the Innovorder Server or Servers.

The Customer, who is solely responsible for the maintenance of the computer network enabling a reliable connection between the elements of the Innovorder system, as well as between the elements installed on his or her network and the Innovorder Server(s), may not hold Innovorder liable in the event of an interruption or slowdown in the connection.

Similarly, as Innovorder is not liable in the event of an interruption or failure in the Customer's Internet connection, it may continue to bill the Customer for the service subscription for the duration of the said interruption or failure in connection.

Article 4. Description of the offers - License

Innovorder offers Services in the form of user licenses, for which the Customer must purchase from Innovorder the Products necessary for the proper functioning of the licenses, unless the Customer is already equipped with hardware that is compatible with the Services.

The Customer must choose the duration of the commitment that he or she wishes to implement from among the various durations offered by Innovorder.

The licenses include the following services (which are not limited to the above and may be supplemented by future Services developed by Innovorder): use of the licenses for the cashiering Services, online ordering, kitchen display, order display, kiosks, loyalty, back office, maintenance and updates of the solution, support by chat or telephone from Monday to Friday from 8:00 a.m. to 6:00 p.m., on Saturdays and holidays (excluding Sundays) from 10:00 a.m. to 4:00 p.m.

The Customer may also choose to take additional options in addition to his licenses, the details and prices of which appearing on the order form were communicated to him at the same time as these GCUV and which will then be invoiced in addition.

Article 5. Management of orders - Sales of products

5.1 - Passation des commandes
Le Client peut passer commande de différentes manières.

Ainsi, il peut remplir le bon de commande qu’un membre du service commercial d’Innovorder lui a présenté, lors d’une démonstration des Services physique, ou effectuée par partage d’écran et le transmettre directement au membre du service commercial ou appliquer sa signature électronique via le formulaire en ligne.

En signant le bon de commande dans les conditions susvisées, le Client déclare avoir pris connaissance et accepté les présentes CGUV. La signature du bon de commande vaut donc acceptation des CGUV.

Un récapitulatif des informations de la commande et desCGUV est communiqué au Client (i) avec le bon de commande signé ou (ii) via l’email de confirmation de la commande par voie électronique.

Innovorder adressera à première demande du Client adressée à l’adresse figurant sur le bon de commande une copie de son bon de commande signé.

En cas d’indisponibilité d’un Produit ou d’impossibilité à réaliser des Services lors de la passation de la commande, le Client en sera informé par Innovorder par courrier électronique sur l’adresse email qu’il aura communiquée au moment de son inscription sur le Site. En cas d’indisponibilité d’un Produit, le Client se verra proposer l’échange du Produit pour un autre. Toute différence éventuelle de facturation sera imputée auClient.

5.2 - Fourniture des Services et des Produits – réserve de propriété
Les Produits vendus au Client dans le cadre d’un abonnement restent la propriété d’Innovorder jusqu’au règlement intégral du prix convenu et des taxes correspondantes.

5.3 - Livraison des Produits
Les Produits acquis par le Client dans le cadre d’un abonnement sont livrés à l’adresse de livraison indiquée par le Client dans le bon de commande signé par le Client.

Le Client devra accepter les frais et options de livraison mentionnés sur le bon de commande, avant validation de sa commande et paiement du Prix.

Le délai total de livraison (qui comprend le temps de traitement informatique de la commande, sa préparation, son expédition, et son acheminement par le transporteur) est communiqué par Innovorder au Client à titre indicatif et n’est pas garanti.

Le délai maximum de livraison est de 60 jours hors cas de grèves, intempéries, force majeure ou rupture de stocks dans la durée.

Innovorder ne saurait être tenue responsable des conséquences dues à un retard de livraison.

Tout colis renvoyé à Innovorder à cause d’une adresse de livraison erronée ou incomplète sera réexpédié aux frais du Client.

En cas de livraison par un transporteur et/ou d’installation par un installateur nécessitant une prise de rendez-vous avec le Client, le transporteur et/ou l’installateur prendra contact avec le Client pour convenir d’un rendez-vous de livraison, 45 jours au plus tard à compter de la date de signature du bon de commande par le Client. Innovorder ne peut être responsable d’un retard de livraison dû exclusivement à une indisponibilité du Client après plusieurs propositions de rendez-vous par le transporteur.

En toute hypothèse, le délai de livraison des Produits est de 30 jours à compter de la date de fixation du rendez-vous par le Client.Au moment de la livraison, le Client doit vérifier l’état des Produits. S’ils ont été endommagés, le Client doit impérativement refuser le colis et noter une réserve sur le bordereau de livraison (colis refusé car ouvert ou endommagé). Le Client doit indiquer sur le bon de livraison et sous forme de réserves manuscrites accompagnées de sa signature toute anomalie concernant la livraison (avarie, produit manquant par rapport au bon de livraison, colis endommagé, produits cassés…). Cette vérification est considérée comme effectuée dès lors que le Client, ou une personne autorisée par lui, a signé le bon de livraison. Le Client devra alors confirmer par courrier recommandé ces réserves au transporteur au plus tard dans les trois jours ouvrables suivant la réception du ou des Produit(s) et transmettre une copie de ce courrier à Innovorder par email à l’adresse suivante : support@innovorder.fr.

Toute réclamation concernant une erreur ou une difficulté relative à la livraison et/ou l’installation des Produits devra être adressée par courriel à l’adresse suivante support@innovorder.fr.

5.4 - Service après-vente
Innovorder veille à un entretien approprié des Services en fonction de l’état de la technique. Durant les horaires d’ouverture (du Lundi au Vendredi : 08H00 - 18H00, le Samedi et jours fériés hors Dimanche : 10H00 -16h00), Innovorder répare les dérangements qui relèvent de sa sphère d’intervention, dans un délai approprié, avec les moyens dont elle dispose raisonnablement.

Le service Support et Assistance Innovorder est joignable durant les horaires d’ouverture par mail à l’adresse support@innovorder.fr, par chat depuis le Back Office Innovorder, par téléphone au 01 86 76 70 03 pour laRestauration Collective et au 01 76 44 06 19 pour la Restauration Commerciale.

Si l’intervention de Innovorder est demandée pour un dérangement dont la cause est liée à une erreur ou un manquement du Client, les coûts pourront en être imputés au Client.

5.5 - Preuve de la transaction
Les registres informatisés, conservés dans les systèmes informatiques d’Innovorder dans des conditions raisonnables de sécurité, seront considérés comme les preuves des communications, des commandes et des paiements intervenus entre les parties. L’archivage des bons de commande et des factures est effectué sur un support fiable et durable pouvant être produit à titre de preuve.

Article 6. Financial conditions

6.1 - Prices
‍The
price of the Products, specified in the order form signed by the Customer, is the price in force on the day the order form is signed. The price is inclusive of all taxes and includes the cost of delivery of the Products, indicated by Innovorder to the Customer before signing the order form and recorded on the order form.

The price of the Services invoiced to the Customer, indicated inclusive of all taxes, is that in force on the day of signing the order form or on the day of renewal of the Contract. In the latter case, the price change is notified to the Customer by email at the time of the said renewal.

Innovorder reserves the right to modify the price of the Products and Services at any time and guarantees the Customer the application of the price in force on the day of the Order or on the day of the renewal of the Contract.

If the VAT rate were to be modified, these changes could be passed on to the price of the articles without the Customer being informed in advance.

6.2 - Payment methods
‍With
the exception of Subscriptions which can only be paid by SEPA direct debit, unless otherwise indicated in the "Contract" or Special Conditions, payment is made in euros at the Customer's choice:
- By bank transfer
- By SEPA direct debit

6.3 - Payment terms
This is an order with a payment obligation, which means that signing the order form implies payment by the Customer.

Unless other terms are expressly provided for on the order form, payment of the price shall be made as follows:
- For any purchase of Products and/or Services, payment shall be made in cash at the time of order by direct debit.
- For all orders of Licenses except monthly subscriptions, payment is made 30 days in arrears upon activation by bank transfer.
- For all orders of Licenses invoiced monthly, payment is made in arrears by direct debit on the 1st of each month as of activation.

6.4 - Late payment
Any sum not paid on the due date is liable, without prior notice, to interest at the rate applied by the European Central Bank to its most recent refinancing operation plus 10 points.

In addition, the Customer will automatically owe Innovorder a fixed indemnity for collection costs of 40 euros per unpaid invoice.

Section 7. Activation, termination and suspension of services

7.1 - Commissioning
Once the order has been placed, the Products have been received and installed, the training has been provided, and payment has been received by Innovorder, the Services may be used by the Customer.

In the absence of a specific agreement between the parties, the Services shall take effect at the time the Products are received by the Customer, in all cases where the Products are to be delivered, and on the date the training is provided, in cases where the Customer already has products that are compatible with the Services.

7.2 - Withdrawal
As the Customer is a professional purchasing within the framework and for the needs of his main and usual professional activity, there is no right of withdrawal.

73 - Duration
The Contract takes effect on the date of activation of the Licenses and for the initial fixed duration stipulated in the Contract signed by the Customer. At the end of this initial period, in order to avoid any discontinuity in the Services, the Agreement shall be tacitly renewed for successive periods equivalent to the duration of the initial period. Invoicing for the renewed Contract shall take place on the date of commencement of the renewed period.

In order to respect the balance of the agreement between the Parties, if a request for negotiation of the Contract is initiated by one of the two Parties, the prices may be updated at the time of the contractual renewal after negotiation between the Parties. This negotiation shall take place no later than two (2) months before the end of the Initial Period and then of each successive period. The price changes will take effect on the date of renewal of this Contract.

7.4 - Termination
‍Any
request for termination, including for a Contract without a term commitment, must be made in writing in accordance with the following procedure:

The subscription may be terminated by email sent to contact@innovorder.fr at the end of the Initial Period or each Renewal Period subject to compliance with a notice period of one (1) month before the initial term or before the end of the current tacit renewal period.

A scanned letter must be attached to this termination email, dated, signed and stamped by the manager, including the following information*
Name of the company concerned
*SIREN of the company concerned
*Name and address of the point of sale concerned
*Solution concerned by the request
*Date of termination desired
*Amount HT of the monthly subscription concerned

Each party may also terminate the Contract, at any time, without compensation, in the event of failure by the other party to comply with any of the stipulations of the Contract, which has not been remedied within 60 days following formal notice to remedy. Except in the event of default by either party, the Contract may not be terminated before the term initially provided for in the purchase order.

7.5 - Suspension in the event of non-payment
In the event of non-payment, Innovorder may suspend the provision of the Services with a notice period of five (5) working days after sending a formal notice e-mail that has remained without effect. In this case, the Customer will also be required to grant Innovorder access to the Products, in order to proceed with the uninstallation. The reinstatement following a suspension due to non-payment involves a fixed fee of 375 (three hundred and seventy-five) euros excluding tax, and may take between 2 and 3 working days. The reinstatement fee must be paid prior to the reinstatement in order for the reinstatement to be initiated.

Article 8. Use of third parties

To meet its contractual commitments, Innovorder may at any time call upon subcontractors. In this case, they will be subject to the terms of the present CGUV, in particular with regard to the respect of the confidentiality of the Customer's data.

Article 9. Protection of personal data

Le présent article a pour objet de définir les conditions dans lesquelles Innovorder en sa qualité de sous-traitant, s’engage à effectuer pour le compte du Client en sa qualité de responsable du traitement, les opérations de traitement de données à caractère personnel définies ci-après.

9.1 - Stipulations générales
Dans le cadre de leurs relations contractuelles, les parties s’engagent à collecter et à traiter toute(s)donnée(s) à caractère personnel (la ou les « Donnée(s) ») et à respecter la réglementation en vigueur applicable au traitement des Données et, en particulier, la loi n° 78-17 du 6 janvier 1978 relative à l’informatique, aux fichiers et aux libertés modifiée (la « Loi Informatique et Libertés ») et leRèglement (UE) 2016/679 du Parlement européen et du Conseil du 27 avril 2016 relatif à la protection des personnes physiques à l’égard du traitement des données à caractère personnel et à la libre circulation de ces données (le « Règlement »).

Les parties déclarent connaître les droits et obligations incombant aux responsables de traitements et sous-traitants résultant de l’application de la législation et de la règlementation relatives à la protection des données à caractère personnel. Les parties conviennent en conséquence qu’il n’y a pas lieu de rappeler ces droits et obligations dans le Contrat.

9.2 Description du traitement faisant l’objet de la sous-traitance
Innovorder est autorisé à traiter pour le compte du Client les Données nécessaires pour l’utilisation par le Client des Produits et Services d’Innovorder.

La nature des opérations réalisées sur les Données est l’hébergement et la restitution des Données.Les catégories de personnes concernées sont les clients du Client. Les Données traitées sont : prénom, nom, téléphone, email, date de naissance (optionnel), mot de passe (en crypté), adresse postale, liste des commandes du client, données bancaires, numéro de badge, numéro de convive, code pin (en crypté), classe, section, sous-section, code subvention, code admission, code tarifaire.

Innovorder s’engage à traiter les Données de manière loyale et licite pour la finalité déterminée en exécution du Contrat et dans le respect de la Loi Informatique et Libertés et du Règlement.

9.3 - Obligations d’Innovorder à l’égard du Client
Innovorder s’engage à :
- Traiter les Données uniquement pour les finalités prévues par le Contrat et conformément aux instructions préalables documentées du Client
- Garantir la confidentialité des Données traitées dans le cadre du Contrat
- Veiller à ce que les personnes autorisées à traiter les Données en application du Contrat s’engagent à respecter la confidentialité
- Supprimer les données dans les délais fixés par le Client
- Innovorder déclare tenir par écrit un registre de toutes les catégories d’activités de traitement effectuées pour le compte du Client.

9.4 - Obligations du Client à l’égard de Innovorder
LeClient s’engage à :
- Collecter de manière licite et loyale les Données nécessaires pour le traitement
- Documenter par écrit toute instruction concernant le traitement des Données par Innovorder
- Veiller, au préalable et pendant toute la durée du traitement, au respect des obligations prévues par le Règlement de la part de Innovorder
- Superviser le traitement, y compris réaliser les audits et les inspections auprès d’Innovorder.

9.5 - Sécurité et confidentialité des Données
Pour garantir la sécurité et la confidentialité des Données, Innovorder s’engage à :
- Préserver la sécurité et la confidentialité des Données traitées pour le compte du Client, par la mise en œuvre de mesures de protection, ayant notamment pour effet d’empêcher qu’elles ne soient déformées, détruites, perdues, altérées, piratées, détournées, endommagées ou communiquées, de manière accidentelle ou illicite, à des personnes non autorisées
- Ne pas utiliser les Données à des fins autres que la stricte exécution de ses obligations contractuelles
- Ne pas transférer auprès d’un tiers les Données recueillies sans l’information préalable du Client.

9.6 - Notification d’un incident de sécurité ou d’une violation des Données
Si un incident de sécurité, une divulgation non-autorisée et/ou une violation des Données survenaient de manière accidentelle ou illicite, Innovorder s‘engage dans la mesure où il en est à l’origine à :
- Informer leClient dans les meilleurs délais après en avoir pris connaissance
- Notifier, conformément à la législation applicable, au Client toute violation de Données dont il a connaissance
- Prendre dans les meilleurs délais les mesures adéquates pour y remédier ; et
- Assister le Client pour qu’il communique sur l’existence de la violation des Données auprès des personnes concernées.

9.7 - Responsabilité et audits
Innovorder, en sa qualité de sous-traitant, ne peut agir que sur instruction du Client qui demeure responsable des instructions qu’il donne et de tout manquement à ses obligations.

Chacune des parties demeure responsable de ses propres actes.

Innovorder s’engage à répondre aux demandes d’audit légitimes et proportionnées du Client.

9.8 - Droit d’information des personnes concernées
Il appartient au Client de fournir l’information aux personnes concernées par les opérations de traitement au moment de la collecte des Données.

9.9 - Localisation et transferts
Innovorder informe le Client que les Données seront hébergées dans des serveurs localisés en France et en Belgique.Innovorder s’engage à ce que le transfert de Données soit réalisé dans le respect de la Loi Informatique et Libertés et du Règlement.

9.10 - Sous-traitance à des tiers
Innovorder peut faire appel à un ou plusieurs autre(s) sous-traitant(s) (le « Sous-Traitant Ultérieur»)pour mener des activités de traitement spécifiques.

Le Sous-Traitant Ultérieur est tenu de respecter les obligations du Contrat pour le compte et selon les instructions du Client.

Article 10. Innovorder's responsibility

10.1 Responsabilité d’Innovorder au titre de la vente des Produits
Les Produits régis par les présentes CGUV sont ceux qui figurent sur le site d’Innovorder et figurant sur le bon de commande signé par le Client.

Les visuels des Produits accessibles sur le Site n’ont pas de valeur contractuelle et ne sont donc pas opposables à Innovorder.

Les Produits doivent être vérifiés par le Client à leur livraison, et toute réclamation, réserve ou contestation relative aux manquants et vices apparents, doit être effectuée dans les conditions fixées selon les articles ci-dessus. En cas de défauts apparents, les pièces défectueuses sont remplacées par Innovorder, sous réserve de vérification des défauts allégués. Le Client devra fournir toute justification quant à la réalité des défauts constatés, Innovorder se réservant le droit de procéder, directement ou indirectement, à toute constatation et vérification sur place.

La dénonciation des défauts existants au moment de la livraison, et révélés après la réception des Produits, devra être formulée par le Client par écrit dans un délai de cinq (5)jours suivant la date à laquelle il aura découvert le défaut de conformité. Aucune dénonciation ne sera prise en compte et aucune action en non-conformité ne pourra être engagée par le Client, si elle intervient plus de cinq (5) jours calendaires à compter de la livraison des produits. Cette notification doit mentionner les références et dates des documents de commande et livraison correspondantes.

Il est expressément convenu par l’acceptation par le Client des présentes CGUV qu’après l’expiration de ce délai, le client ne pourra invoquer la non-conformité des produits, ni opposer celle-ci en demande reconventionnelle pour se défendre à l’occasion d’une action en recouvrement de créances engagée par Innovorder.

En cas de survenance ultérieure d’un vice, qui était caché au moment de la vente, et rendant le Produit impropre à sa destination normale, le Client est tenu de notifier à Innovorder la survenance de celui-ci dans un délai de trente (30) jours calendaires à compter de sa découverte. Cette notification doit mentionner les références et dates des documents de commande et livraison correspondantes.

Il appartient au Client de fournir toute justification quant à la réalité des vices survenus et ses conséquences sur la destination du Produit. Innovorder se réserve le droit de procéder directement ou partout intermédiaire de son choix à toute constatation, vérification et tout examen dans les locaux du Client.

Lorsque la non-conformité ou le vice caché a été reconnu par Innovorder, Innovorder s’engage soit à restituer le prix de vente du Produit en contrepartie de la restitution dudit Produit par le Client soit au remplacement du Produit, à l’exclusion de tout dommages-intérêts.

Le Client est tenu de lire attentivement les notices relatives aux caractéristiques techniques des Produits fournies par le fabricant des Produits et de respecter strictement les conditions d’utilisation définies par celui-ci. Le Client sera seul responsable des conséquences liées au non-respect des conditions d’utilisation, à un usage anormal des Produits et/ou à des conditions de stockage anormales ou inappropriées, et la responsabilité de Innovorder ne pourra en aucun cas être engagée à ce titre.

10.2 -Responsabilité d’Innovorder au titre de la mise à disposition des Services Innovorder apporte un soin particulier à la qualité et à la sécurité de ses infrastructures notamment par une architecture technique garantissant un haut niveau de sécurité et de disponibilité des Services. Innovorder ne garantit ni l’accès permanent, ni le fonctionnement sans panne, ni l’exactitude et l’intégrité des données transmises ou téléchargées.

La responsabilité d’Innovorder ne pourra être valablement engagée que sous réserve que le Client démontre l’existence d’une faute imputable à Innovorder, d’un préjudice et d’un lien de causalité entre la faute et le préjudice. Le Client reste notamment seul responsable de la vérification et validation de l’exactitude des données de son catalogue et des taux de TVA qui s’appliquent. La responsabilité d’Innovorder ne saurait en aucun cas être engagée en cas de problèmes liés à des élément du catalogue du Client.

La responsabilité d’Innovorder sera en toute hypothèse strictement limitée au préjudice direct, certain et prévisible, à l’exclusion de tout préjudice indirect, hypothétique ou imprévisible et en tout état de cause, sera limitée au montant effectivement encaissé par Innovorder pendant la durée de sa relation contractuelle avec le Client.

Article 11. Security

Innovorder takes particular care with security when developing its Services and undertakes to take all necessary measures, in accordance with the state of the art and technology, to protect the security of its Customer's files and data. All transfers between the elements installed on the Customer's premises and the Innovorder server(s) are encrypted.

The Customer acknowledges, however, that despite all Innovorder's efforts, the use of the most modern technologies and compliance with security standards, it is impossible to guarantee absolute security and flawless operation of the systems used. The Customer also acknowledges that due to the characteristics of the Internet, security is an obligation of means for Innovorder. In particular, Innovorder shall not be liable for the unavailability of the platform due to its service providers.

Article 12. Confidentiality

Innovorder undertakes to keep the information entrusted to it by the Customer strictly confidential.

In all cases, the data concerning the transactions carried out by the collection system, as well as the composition of this data (reports, cash register logs, etc.) are treated confidentially and are subject to Innovorder's confidentiality policy.

The Customer acknowledges that all written and verbal information relating to Innovorder's know-how is the product of original creative efforts and is confidential. Accordingly, Customer agrees not to use it for its own purposes or disclose it other than in connection with the performance of the Agreement.

Article 13. Intellectual property

The license granted by Innovorder gives the Customer, for the duration of the Contract, the right to use the software belonging to the licensor, on the designated hardware, i.e.:
- Innovorder grants the Customer, on a personal, non-transferable, non-exclusive basis, the right to use the above-mentioned software and methods
- The Customer undertakes to use this software only for its own needs. The Customer agrees not to provide the software in any form whatsoever or to make it available to anyone other than its employees for the use of the Services
- The Customer agrees not to market the software in this contract or develop products that may compete with it
- The Customer may not modify the software or adapt it without the express prior written consent of the licensor

The technology and software underlying the Services, as well as the Site, and in particular its ergonomics (including graphic charts, tabs, features, etc.) and its content (including images, text, graphics, etc.) and its content (notably images, logos, illustrations, photos, texts, etc.) are the exclusive property of Innovorder.

Innovorder grants the Customer a limited, non-transferable, non-exclusive, non-sublicensable and revocable license for the duration of the contract to access and make personal, non-commercial use of the Services, as well as of any software underlying our Services, solely for the purpose of using the Services, in accordance with the GCUV. All intellectual property rights remain with Innovorder or the licensor.

Customer agrees not to copy, modify, enhance, translate, rent, lease, sell, assign, distribute, decompile, reverse engineer, grant a security interest in, or otherwise transfer any rights in the technology or software underlying the Services.

Any reproduction, representation or use of any kind whatsoever, by any process whatsoever and for any purpose whatsoever, other than that provided for in the Contract, of all or part of theServices and/or the Website, and in particular its structure and/or content, without the prior written authorization of Innovorder, constitutes an act of infringement giving rise to the civil and/or criminal penalties provided for by law.

The Customer also undertakes to inform Innovorder of any infringement or violation of the said intellectual property rights by third parties, as soon as it becomes aware of such infringement or violation.

In the event that the Customer has asked Innovorder to develop specific functionalities, such as, for example, software integrations or the taking into account of specific needs related to the Customer's activity (hereinafter, the "Specific Development"), Innovorder shall remain the full owner of this Specific Development, of the source code, and of all the products and services resulting from this Specific Development. The Customer shall not have exclusivity on these functionalities and Innovorder reserves the right to market them to other customers.

Article 14. Sale of the business - Cessation of activity - Management of the business

The Services provided by Innovorder are non-transferable and non-seizable and may not be transferred to anyone.

They may not be included in any inventory of discontinued activities. In the event of the sale of a business or contribution to a company, of a management position, or of the cessation or modification of an activity, the Customer must notify Innovorder by registered letter with acknowledgement of receipt within 48 hours of the change in the legal situation.

In the event of the transfer of a business, the initial contract or the contract tacitly renewed in accordance with article 7.3 above between Innovorder and the Customer, shall be continued by operation of law with the assignee. The transferor is required to include a clause on the continuation of the contract in the deed of transfer of the business, failing which, it will remain liable to the lessor for the compensation provided for in the event of early termination of this contract.

In any event, Innovorder reserves the right to refuse the transfer of the contract, whatever the terms.

In the event of dissolution following a merger, absorption, modification of the legal form or statutes, the absorbing or new company will be purely and simply subrogated in the rights and obligations of the dissolved company.

In the event of cessation of activity, the Customer will be indebted for the totality of the amounts remaining to be paid over the period of the contract.

Article 15. Newsletter and canvassing

Unless he/she expressly objects, the Customer will receive the Site's Newsletter in order to be informed of Innovorder's offers, developments and events.

The Customer may at any time modify the information he/she wishes to receive or unsubscribe in the link provided for this purpose in each newsletter or message sent for prospecting purposes.

Article 16. References

The Customer authorizes Innovorder, for the entire duration of the Contract, to quote its name and reproduce its trademarks and distinctive signs exclusively as a commercial reference as a Customer of the Services and to publish them by any means, or on any media.

Article 17. Force Majeure

The parties shall not be liable in case of impossibility to execute the CGUV due to a case of force majeure as defined in article 1218 of the Civil Code.

In such a situation, the parties shall meet to examine the impact of the event and agree on the conditions under which the execution of the contract shall be continued. If the case of force majeure lasts more than three months, the present CGUV may be terminated by the injured party.

Article 18. Waiver

The fact that one of the parties has not demanded the application of any clause of the present CGUV, whether permanently or temporarily, will not in any case be considered as a waiver of the rights of this party arising from the said clause.

Article 19. Applicable law

The present CGUV are subject to French law.

In case of dispute, the parties will seek an amicable solution before any legal action. The parties agree to meet within eight (8) calendar days from the date of first presentation of a registered letter with acknowledgement of receipt, notified by
one of the two parties denouncing the dispute. In the event of failure of these attempts at the end of a period of fifteen (15) calendar days, any dispute arising in particular on the occasion of the formation of the interpretation or the execution of the CGUV will be brought before the Commercial Court of Paris.
